Terms of Use

1. Agreement

These Terms of Use ("Terms") govern access to and use of the website actarius.pro (the "Website") and the Actarius platform (the "Platform", together the "Services"), operated by Actarius Limited, a company incorporated in Hong Kong under the Companies Ordinance (Cap. 622) with company number 80803074, with its registered office at Rm 3805, 38/F, One Midtown, 11 Hoi Shing Road, Tsuen Wan, Hong Kong ("Actarius", "we", "us").

By accessing the Website, requesting early access, or using the Platform, you agree to these Terms. If you use the Services on behalf of an organization, you confirm that you are authorized to bind that organization, and "you" refers to that organization.

If a separate written agreement (such as a pilot agreement, order form, or master services agreement) exists between your organization and Actarius, that agreement prevails over these Terms in case of conflict.

2. Eligibility and business use

The Services are intended solely for business and professional use by financial organizations and their personnel. You must be at least 18 years old. The Services are not intended for consumers.

3. Early access and pilot status

The Platform is currently offered on an early access / pilot basis. It may contain errors, may be modified or discontinued at any time, and is provided for evaluation purposes. Metrics and results published on the Website are early validation indicators, not audited commercial benchmarks, and do not constitute a guarantee of performance.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly at support@actarius.pro of any unauthorized use. We may suspend accounts for security reasons.

5. Customer content

"Customer Content" means documents, data, and other materials uploaded to the Platform by or for you.

  • You retain all rights to Customer Content.
  • You grant Actarius a limited license to process Customer Content solely to provide and secure the Services.
  • You are responsible for ensuring that you have the legal right to upload Customer Content, including any necessary legal basis, notices, or consents relating to personal data it contains.
  • Personal data in Customer Content is processed by Actarius as a processor under a separate Data Processing Agreement.
  • We do not use Customer Content to train generalized AI models without your explicit written agreement.

6. AI-assisted output — important disclaimer

The Platform uses artificial intelligence to classify documents, extract data, and flag issues. AI-generated output may contain errors, omissions, or misclassifications.

  • Output is provided to assist your team and does not constitute legal, compliance, regulatory, or investment advice.
  • You remain solely responsible for reviewing output, verifying extracted data against source documents, and making all onboarding, compliance, and risk decisions.
  • Actarius is not a party to, and assumes no responsibility for, your regulatory obligations, including KYC, AML, and sanctions compliance.

7. Acceptable use

You must not:

  • use the Services in violation of applicable law;
  • upload content that is unlawful, infringing, or that you have no right to process;
  • attempt to gain unauthorized access to the Services or their infrastructure;
  • probe, scan, or test the vulnerability of the Services without our written permission;
  • reverse engineer, decompile, or copy the Platform, except as permitted by mandatory law;
  • resell, sublicense, or provide the Services to third parties without our written agreement;
  • use the Services to build a competing product;
  • introduce malware or interfere with the operation of the Services.

We may suspend or terminate access for violation of this section.

8. Intellectual property

The Services, including software, design, text, graphics, logos, and trademarks, are owned by Actarius or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or compensation.

9. Confidentiality

Each party will protect the other party's non-public information disclosed in connection with the Services with at least reasonable care and use it only for purposes of the business relationship. This section does not limit any separate confidentiality agreement between the parties.

10. Third-party services

The Services rely on third-party infrastructure and AI providers. We are not responsible for third-party websites linked from the Website.

11. Warranties disclaimer

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the maximum extent permitted by law:

  • Actarius is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill;
  • Actarius's total aggregate liability arising out of or relating to the Services is limited to the amounts paid by you to Actarius for the Services in the 12 months preceding the event giving rise to liability, or USD 1,000 if no amounts were paid;
  • nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence.

You agree to indemnify Actarius against third-party claims arising from your Customer Content or your breach of these Terms.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access with reasonable notice, or immediately in case of material breach or security risk. Upon termination, your right to use the Platform ends, and Customer Content will be deleted or returned in accordance with the applicable Data Processing Agreement. Sections that by their nature should survive (including 8, 9, 11, 12, 15) survive termination.

14. Changes to the Services and Terms

We may modify the Services and these Terms. For material changes to the Terms, we will provide notice through the Website or the Platform. Continued use after the effective date of changes constitutes acceptance. The current version is always available on this page.

15. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law rules. The courts of Hong Kong have exclusive jurisdiction over disputes arising out of or in connection with these Terms, without prejudice to mandatory rights that cannot be waived under applicable law.

16. General

If any provision of these Terms is held invalid, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or asset sale. These Terms, together with the Privacy Policy, Cookie Policy, and any separate written agreement, constitute the entire agreement regarding the Services.
